Liquidity Window definition

Liquidity Window means from the period from January 1 through March 31 of each calendar year, beginning with the 2023 calendar year.
Liquidity Window has the meaning set forth in Section 7.2(f)(v).

Examples of Liquidity Window in a sentence

  • If the Company repurchase during a Liquidity Window is suspended, it shall commence as soon as practicable following the next date on which there are no Liquidity Restrictions to the extent a Liquidity Event has not occurred at such time.

  • In the event that restrictions under (B) or (C) of the Liquidity Restriction definition apply, the Company shall, to the extent possible, use any available cash pro-rata for the purpose of conducting a Company repurchase during a Liquidity Window while limiting the maximum number of Option Shares the Company repurchases for purposes of such Liquidity Window to ensure that Company is able to settle the Option Shares in cash.

Related to Liquidity Window

  • Liquidity Account Initial Date means, with respect to any Series, the date designated as the Liquidity Account Initial Date in the Appendix for such Series.

  • Liquidity Termination Date means September 28, 2006.

  • Liquidity Amount means, as at any date of determination, the lesser of (i) the aggregate amount of unrestricted and unencumbered cash maintained by the Borrower and its Subsidiaries in the United States as of such date and (ii) $20,000,000.

  • Liquidity Provider means each bank or other financial institution that provides liquidity support to any Conduit Lender pursuant to the terms of a Liquidity Agreement.

  • Downgrade Drawing has the meaning assigned to such term in Section 3.6(c).
