Liquidity Statement definition

Liquidity Statement has the meaning given to it in clause 24.8 (Sources and Uses).
Liquidity Statement means a statement of the chief financial officer or controller of the Parent substantially in the form of Exhibit F to the Note Purchase Agreement and otherwise in form and substance satisfactory to the Required Purchasers, (x) certifying as to the amount of the Total Unutilized Revolving Loan Commitment (as defined in the Senior Loan Agreement) plus the cash balances of the Parent and its Subsidiaries' in their respective U.S. bank accounts, in each case, as at the end of the two-week period in respect of which such statement has been delivered pursuant to Section 8.14 and (y) setting forth (in reasonable detail) the computations thereof.
Liquidity Statement means a statement of the chief financial officer or controller of the Parent substantially in the form of Exhibit Q to the Credit Agreement and otherwise in form and substance satisfactory to the Administrative Agent, (x) certifying as to the amount of the Total Unutilized Revolving Loan Commitment plus the cash balances of the Parent and its Subsidiaries' in their respective U.S. bank accounts, in each case, as at the end of the two-week period in respect of which such statement has been delivered pursuant to Section 7.21 and (y) setting forth (in reasonable detail) the computations thereof.

Examples of Liquidity Statement in a sentence

  • During the Waiver Period, by no later than 5.00pm New York time on the Friday of each week a cash report setting forth the cash and Cash Equivalents holdings of the Issuer and its Subsidiaries as at the date of the Liquidity Statement, identifying for the Issuer and each Subsidiary thereof the institution (s) at which such cash and Cash Equivalents is held and the amount of such cash and Cash Equivalents at each institution.

  • The applicable amount payable to Mattel shall be determined using the procedure set forth in Section 7.1(d) and (e), except that the Liquidity Statement (or if necessary a preliminary Liquidity Statement) shall be delivered to Mattel at least 60 days prior to the expected consummation of such Sale of the Company.

  • Net Investment Earnings With respect to the Certificate Account, the Servicing Accounts or the REO Account or Companion Distribution Account for any period from any Distribution Date to the immediately succeeding P&I Advance Date, the amount, if any, by which the aggregate of all interest and other income realized during such period on funds relating to the Trust Fund held in such account, exceeds the aggregate of all losses, if any, incurred during such period in connection with the investment of such funds in accordance with Section 3.06.
