Linked Securities definition

Linked Securities means Securities the Maturity Consideration of which or any other payment thereon will be determined by reference to: (a) one or more equity or debt securities, including, but not limited to, the price or yield of such securities; (b) any statistical measure of economic or financial performance, including, but not limited to, any currency, consumer price or mortgage index; or (c) the price or value of any commodity or any other item or index or any combination thereof.
Linked Securities means Securities the Maturity Consideration of which or any other payment thereon will be determined by reference to: (a) one or more equity or debt securities, including, but not limited to, the price or yield of such securities; (b) any statistical measure of economic or financial performance, including, but not limited to, any currency, consumer price or mortgage index; or (c) the price or value of any commodity or any other item or index or any combination thereof. “Maturity” , when used with respect to any Security, means the date on which the principal of (and premium, if any) and interest on such Security becomes due and payable as therein or herein provided, whether at the Stated Maturity thereof or by declaration of acceleration, call for redemption or otherwise. “Maturity Consideration” means, with respect to Securities of a Series (whether or not issued by, or the obligation of, the Company), the amount of money (including payment of principal and premium, if any, and any accrued but unpaid interest thereon), or a combination of money, securities and/or other property, in either case payable or deliverable upon payment of the discharge of the Securities of such Series upon Maturity.
Linked Securities means Securities the principal value of which at maturity or any other payment will be determined by reference to: (a) one or more equity or debt securities, including, but not limited to, the price or yield of such securities; (b) any statistical measure of economic or financial performance, including, but not limited to, any currency, consumer price or mortgage index; or (c) the price or value of any commodity or any other item or index or any combination, and for which payment at maturity will be determined by the decrease or increase, as applicable, in such prices or values.

Examples of Linked Securities in a sentence

  • Upon the execution of any supplemental agreement under this Article, this Agreement and the Equity-Linked Securities shall be modified in accordance therewith, and such supplemental agreement shall form a part of this Agreement and the Equity Linked Securities for all purposes; and every Holder of Securities theretofore or thereafter authenticated on behalf of the Holders and delivered hereunder, shall be bound thereby.

  • Accordingly, an investment in Commodity Linked Securities may bear similar market risks to a direct exposure to the relevant commodities and investors should take advice accordingly.

  • The applicable Offering Circular Supplement will state, in relation to such Equity Linked Securities, which provisions of the Equity Technical Annex (as defined in the section of this Offering Circular headed "Technical Annex") (the terms of which shall be deemed to include the relevant Sub- Annex (as defined in the Equity Technical Annex) are applicable to such Securities.

  • On redemption or exercise (as applicable) of Commodity Linked Securities, the Issuer's obligations to Holders may be satisfied by the relevant Issuer at their par value and/or by payment of an amount determined by reference to the value of the underlying assets.

  • For purposes of this exhibit, “Linked Securities” are defined as any securities that may be converted, exchanged or exercised into Securities or which, under the terms of the Linked Securities, whose value may be in whole or in significant part be determined by the value of Securities.

  • Any such event and consequent exercise of discretion by the Issuer may have an adverse effect on the value of the Inflation Linked Securities.

  • In the event of any such merger, consolidation, conversion, sale, assignment, transfer, lease or conveyance, such change in phraseology and form (but not in substance) may be made in the Equity Linked Securities thereafter to be issued as may be appropriate.

  • On redemption or exercise, as the case may be, of Reference Rate Linked Securities, Holders will receive an amount (if any) determined by reference to the value of the underlying Reference Rate(s).

  • The right of the iSAFE Sequel Note Holders to receive shares or securities of the other surviving or resulting entity equal in value to the greater of the Investment Amount or Conversion Value as above, is on par with the right of holders of Equity Shares and other Equity Linked Securities who are entitled to receive shares or securities of the other surviving or resulting entity immediately prior to, or concurrent with, the consummation of such Merger Event.

  • The Specific Product Provisions contained in Annex 2 in respect of Index Linked Securities, will, if specified to be applicable in the relevant Pricing Supplement, complete and amend these General Conditions.

Related to Linked Securities

  • Equity-linked Securities means any debt or equity securities that are convertible, exercisable or exchangeable for Class A Shares issued in a financing transaction in connection with a Business Combination, including but not limited to a private placement of equity or debt.

  • Approved Securities means securities of any State Government or of the Central Government and such bonds, both the principal whereof and the interest whereon shall have been fully and unconditionally guaranteed by any such Government;

  • Asset-Backed Securities (ABSs) means debt instruments that are backed by a pool of ring fenced financial assets (fixed or revolving), that convert into cash within a finite time period. In addition, rights or other assets may exist that ensure the servicing or timely distribution of proceeds to the holders of the security. Generally, asset-backed securities are issued by a specially created investment vehicle which has acquired the pool of financial assets from the originator or seller. In this regard, payments on the asset-backed securities depend primarily on the cash flows generated by the assets in the underlying pool and other rights designed to assure timely payment, such as liquidity facilities, guarantees or other features generally known as credit enhancements;

  • Specified Securities means ‘equity shares’ and ‘convertible securities’ as defined under clause (zj) of sub-regulation (1) of regulation 2 of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2009;

  • Designated Securities means securities issued by an Insured, or by any Affiliated Entity, or by any Fund to which such Insured or any Affiliated Entity provides any services.
