Line Extensions definition

Line Extensions means human dermatology products containing the ACTIVE INGREDIENTS of the PRODUCTS but in a different dosage form from the PRODUCTS (e.g., products in a gel rather than a cream form), but not including (i) IMPROVEMENTS; or (ii) the additional Loprox PRODUCT discussed in Schedule 13 hereto, Loprox Gel, Topicort Ointment 0.05% or the DEVELOPMENT STAGE PRODUCT.

Line Extensions means any extensions of (a) any Product listed on Schedule 1A, 2A, 3A or 4A hereto which extensions (i) utilize any of the same Mixed-Use Intellectual Property as such Product and (ii) are sold by or on behalf of Licensee in the Non-Prescription Field exclusively for sale outside the Core Territory (it being understood that such a sale may be made within the Core Territory only if it is exclusively for resale and delivery outside the Core Territory and each purchaser with respect thereto confirms and agrees to such restriction) or (b) any Product listed on Schedule 13, 2B, 3B or 4B hereto which extensions (i) utilize any of the same Mixed-Use Intellectual Property as such Product, (ii) are of the same or similar product class, category or formulation as such Product and (iii) are sold in the Prescription Field by or on behalf of Licensee. Line Extensions means different pack sizes, pack types, or dosage forms of the Product, including reformulations of and enhancements to the Product (but, for the avoidance of doubt, excluding the Option Product). As used in this Agreement, the term reformulation(s) shall also include changes in the qualitative or quantitative Product formulation provided such changed formulation(s) continues to be ceramide-dominant ratio of ceramides, lipids and cholesterol, including but not limited to additions, deletions, increases or reductions in Product components or ingredients.

Examples of Line Extensions in a sentence

  • If Bottler discontinues some (but not all) Line Extensions, SKUs or packages for a Covered Beverage or Related Product, then Bottler may thereafter reinstate the discontinued Line Extension, SKU or package.

  • Further, Bottler has the right to discontinue the distribution and sale of any Line Extension, SKU or package in any portion of the Territory without providing prior written notice to Company, and Company may not distribute or sell the discontinued Line Extension, SKU or package in the Territory or authorize any of its Affiliates or others to do so unless Bottler has discontinued all Line Extensions, SKUs and packages of the Covered Beverage or Related Product.

  • Applications requiring Data Amplification may also require special construction charges as described in Local Terms of Service: Line Extensions and Special Construction Services.

  • Charges and/or Termination Charges described in Local Terms of Service: CenturyLink Line Extensions and Special Construction Services may also apply.

  • The Development Committee shall be responsible for (i) implementing the decisions made by the License Steering Committee, (ii) establishing the general strategy for New Indications and Line Extensions and (iii) overseeing the development of New Indications and Line Extensions, if such development is conducted jointly by Sanofi and BMS or their respective Affiliates.

  • King shall be responsible for obtaining and maintaining any additional Regulatory Approvals for Product Line Extensions for Product B in the Territory.

More Definitions of Line Extensions

Line Extensions means either (i) a change in the indication(s) for use set forth in the PMA for the Current Licensed Product that expands the applications of the Current Licensed Product or (ii) [************************************************ *************************]. For avoidance of doubt, a mutually-agreed change in Specifications that satisfies either clause (i) or clause (ii) in the immediately preceding sentence shall, for all purposes under this Agreement, be considered a Line Extension and not solely a change in Specifications, unless the Parties otherwise agree in writing at the time such change is made. Any variation in the Licensed Product which modifies a Licensed Product to the extent that the Licensed Product does not conform to the definition of Line Extension shall be considered a Next Generation Product to the extent it satisfies the definition thereof.
