LIL Project means all the activities and work associated with and involved in the construction of the LIL and the resulting completed and Commissioned LIL, the use, operation, maintenance, repair, alteration, replacement and rehabilitation of the LIL during its Service Life, and the decommissioning and removal of the LIL at the end of its Service Life;

LIL Project means the construction of the Labrador - Island Link transmission line by LIL Partnership and the operation of the Labrador – Island Link transmission line by the LIL Operating Company, all as more fully described below under “The Projects”.

  • Even if a LIL Event of Default or acceleration of the amounts owed by the Partnership under the LIL Project Finance Agreement has occurred, the Collateral Agent shall not release the Required Contribution from the Partnership Project Funding Account until such Debt Rateable Share has been deposited therein and the Collateral Agent can make the concurrent release referred to above.

  • The Guarantor hereby acknowledges that it has received and taken cognizance of an original executed copy of this Agreement, the ESA and the LIL Project Finance Documents in force on the date hereof and is familiar with all the provisions thereof.

  • Each Party, with respect to the LIL Project, shall, upon written request by the other Party and to the extent permitted by Applicable Law, provide such other Party with copies of all communications and correspondence to any and all Authorized Authorities.

  • Each Party shall have the right, from the Effective Date through to the end of the LIL Assets Term, upon reasonable advance Notice to the other Party, to access the LIL Project for the sole purpose of examining the LIL or the conduct of the Development Activities in connection with the performance of the respective obligations of the Parties under this Agreement, such reasonable advance Notice to set out the purpose of its intended access and the areas it intends to examine.

  • While accessing the LIL Project, the Parties and their Representatives shall follow all rules and procedures established for visitors to the site which are related, but not limited, to safety and security.

  • Even if a LIL Event of Default or acceleration of the amounts owed by the Partnership under the LIL Project Finance Agreement has occurred, the Collateral Agent shall not release the Required Contribution until such Debt Rateable Share has been made available to the Collateral Agent and the Collateral Agent can make the concurrent deposit referred to above.

  • Such access shall not unreasonably interfere with the activities at the LIL Project and shall not compromise the safety of persons or property.
