Lighthouse Software definition
Lighthouse Software means a proprietary transportation management system of ▇▇▇▇▇▇ for use by ▇▇▇▇▇▇ and/or Company in supply chain management to allow the cost-efficient movement of freight through a global network of LTL, truckload, flatbed, intermodal, rail, ocean, air and expedite-surface carriers (“carriers”). Company procurement personnel for inbound purchases and shipping personnel for outbound sales may use to plan, execute, manage and optimize the physical movement of goods. Through use of users may develop and manage a customized select list of carriers for transportation of inbound or outbound goods at mostly predetermined rates.
Lighthouse Software or any derivation thereof, trademarks, trademark registrations, applications for trademark registrations, copyrights, copyright registrations, owned or, where not owned, used by a Seller in its business and all licenses and other agreements to which a Seller is a party (as licensor or licensee) or by which a Seller is bound relating to any of the foregoing kinds of property or rights to any "know-how" or disclosure or use of ideas (collectively, the "Intangible Property"); and
Lighthouse Software means the Lighthouse Software and the Lighthouse ------------------- Intellectual Property related to the Lighthouse Software (in each case as defined in the Membership Interest Redemption Agreement dated as of May 31, 2001 among Administrative Borrower, Diginet LLC, ▇▇▇▇▇▇▇ ▇. ▇▇▇▇▇▇, ▇▇▇▇▇ ▇▇▇▇▇▇ and ▇▇▇▇▇ ▇. ▇▇▇▇).
