Examples of Lifetime Buy in a sentence
If either (a) Supplier provides notice of intent not to renew this Agreement after the Initial Term or any subsequent renewal period in accordance with Section 8.1, or (b) RDR or RDO terminates this Agreement pursuant to Section 8.2, then in addition to any other rights RDO or RDR may have hereunder, RDO or RDR shall be entitled to make a Lifetime Buy of Product(s).
RDR or RDO may, by written notice to Supplier, modify the specific Product(s) or quantities requested in the Lifetime Buy for any Product(s) or quantity for which manufacturing has not yet commenced by the time Supplier receives RDR’s or RDO’s notice.
RDR’s or RDO’s Purchase Order for the Lifetime Buy shall constitute a binding obligation to purchase the quantities of Product referenced therein.
Supplier shall update RDR or RDO periodically (but no less frequently than semi-weekly) regarding its status and progress on the Lifetime Buy build.
In this case HP will be given the opportunity to place a Spare Parts "Lifetime Buy" orders at the [* *] after notice of discontinuance has been given.
Upon receipt of Lifetime Buy Materials, Celestica shall invoice Customer for such Materials, and will either store such Material on behalf of Customer pursuant to Schedule E, or deliver such Material to Customer, as Customer may elect.
Payment for such Materials shall be due by Customer without offset or deduction for any matter whatsoever, within fourteen (14) days from the date of Celestica's invoice to Customer for such Lifetime Buy Materials.
If RDR or RDO notifies Supplier of a reduction in the Lifetime Buy quantities for Products for which manufacture has not then commenced, RDR or RDO shall nonetheless be liable to Supplier for any Product-specific raw materials and/or components purchased by Supplier prior to such notification in furtherance of the Lifetime Buy build.
