Licensing Contingency definition
Licensing Contingency shall have the meaning given such term in Section 4.4.
Examples of Licensing Contingency in a sentence
Sellers, the Acquired Companies and Purchaser shall cooperate, and, as applicable, shall cause the Tenants, the Florida Tenant and the Manager to cooperate, in timely filing any notice of change of ownership or the certificate of need as applicable and to obtain all Government Approvals of each Property contemplated hereby with the relevant Governmental Authorities, and to facilitate the satisfaction of the Licensing Contingency.
Notwithstanding anything contained herein to the contrary, Purchaser shall not be deemed to have satisfied or waived the Loan Assumption Contingency and/or the Licensing Contingency by virtue of Purchaser’s deemed exercise of the Second Extension Option.
