In the event a provision of this Agreement is not consistent with the requirements of the Licensure Laws (such as a prohibition on transfer of resident contracts or other operational assets prior to Licensing Approval being obtained), then the Licensure Laws shall prevail over such inconsistent provisions and the parties agree to work together in good faith to achieve the intent of this Agreement through other reasonable approaches.
Provided Black Hawk can prove to Entertainment, in Entertainment's sole but reasonable discretion, that the involvement of Black Hawk in the Project will not detrimentally affect the Project casino and provided Black Hawk obtains Licensing Approval, Black Hawk shall have the right and option to reacquire its 75% Membership Interest in the Company (the "Repurchase Right").

The exercise of any such Option shall be conditioned upon appropriate Licensing Approval or other regulatory approval being obtained from the Nevada Gaming Authorities.
