Licensee Software definition

Licensee Software means any software for the Licensee Products that is: (i) developed by Licensee, or (ii) acquired or licensed from a third party by Licensee, or (iii) developed for Licensee by a third party.
Licensee Software means the Licensee’s software owned and developed by the Licensee which either exists in the Licensee’s product before executing this Agreement or is modified or created with the Software under this Agreement and which is to be embedded in the Sierra Wireless Product or provided in object code to Licensee’s customers, in either case to be used in conjunction with a Sierra Wireless Product.
Licensee Software using software developer tools licensed by OT and Licensee will defend and indemnify OT against any claims, damages, costs, losses or expenses related to the development or use of the Licensee Software.

  • OT is not responsible or liable for Licensee’s development or use of additional software code or software products (“Licensee Software”) using software developer tools licensed by OT and Licensee will defend and indemnify OT against any claims, damages, costs, losses or expenses related to the development or use of the Licensee Software.

  • To the extent that any Licensee Software or additional components from Licensee are included or bundled with the Licensee Product, such components shall be included as part of the Licensee Product for purposes of determining Net Revenue and royalties hereunder, whether or not listed as separate line items on the invoice, except for distinct value added products and services requiring a separately invoiced payment or activation which are subject to Section II (C) of this Exhibit D, below.

  • The Licensee Software must not substantially duplicate the capabilities of the Software or, in the reasonable opinion of Nevron, compete with, directly or indirectly, the Software.


More Definitions of Licensee Software

Licensee Software means any Software that is Developed, licensed, purchased or otherwise acquired by Licensee and will be used in conjunction with the Licensed Products.
Licensee Software shall have the meaning set forth in Section 4.11(c).
Licensee Software means software that provides address data services.
Licensee Software means software products that (a) are developed by Licensee hereunder, whether made available on-cloud, on-premises, via API or otherwise (including any new versions, releases, updates or upgrades thereto) and (b) contain, utilize, or are offered together with any or all components of any Licensed Content. Licensee Software also includes existing software products owned and controlled by Licensee that are being upgraded, improved or otherwise modified to contain, utilize, or be offered together with any or all components of Licensed Content, to the extent such existing software product is used only in a development or test environment hereunder.
Licensee Software means the application software designed by or for Licensee that operates solely on a Tensilica processor running for example in a simulation model or an FPGA board or in a Product as defined herein.
Licensee Software means the software described in Schedule 1.2(g) and any Enhancements thereto.
Licensee Software means existing and future software products that (a) are owned and controlled by Licensee and/or its Authorized Licensee Affiliates and accessible solely to Licensee, its Authorized Licensee Affiliates, and Internal Users, whether made available on-cloud, on-premises, via API or otherwise (including any new versions, releases, updates or upgrades thereto) and (b) contain, utilize, or are offered together with any or all components of any Licensed Content.
