Licensed Modules means each of the software modules licensed by Customer pursuant to an Order Form and any Upgrades, Updates or Corrections provided thereto.

Licensed Modules means (i) all of the software module(s) specified in Schedule 1 to this SWLA, consisting programs containing a series of instructions or statements in machine-readable object code form; (ii) any revisions or updates provided by Licensor to the Licensee, pursuant to this SWLA; and (iii) the Module Documentation as defined herein. It is understood that the Licensed Modules listed on Schedule 1 consist of Licensor’s proprietary software and certain third party software. Third party licensed software is licensed by Licensor to Licensee subject to all of the terms and conditions of the software licensing arrangements between Licensor and the respective third parties.

Licensed Modules means any distinct modules of the Platform that Personify Care has agreed to license to the Customer from time to time (including pursuant to clause 11.4), which may include Personify Patient Care, Personify Discharge, Personify Connect and/or Personify Connect Lite or any other modules that Personify Care may develop. As at the date of this Agreement, the Licensed Modules are as set out in the Order Form;

Licensor shall provide support services for the Licensed Modules, in the manner and on the terms and conditions set forth in the Software Support Services and Maintenance Agreement attached hereto as Exhibit A.

Subject to the conditions set forth in Section 6.02 above, if Licensee notifies Licensor during the Warranty Period that it believes that the Licensed Modules do not materially conform to the published Module Documentation, then following Licensor’s determination that a material nonconformance exists, Licensor will, at its sole option, either repair or replace the nonconforming Licensed Modules.
The Licensed Modules shall be deemed accepted by Licensee on delivery.
It is understood that the Licensed Modules listed on Schedule 1 consist of Licensor’s proprietary software and certain third party software.
Licensee acknowledges and agrees that Licensor owns all proprietary rights, including patent, copyright, trade secret, trademark and other such proprietary rights, in and to the Module Documentation and the Licensed Modules and any corrections, remedial modifications, maintenance upgrades, updates or the other modifications, including custom modifications to the Licensed Modules whether made by Licensor, Licensee or any third party.
Licensor shall maintain a copy of the source code for the Licensed Modules with a third party as provided under the terms of that certain Technology Escrow Agreement between the parties hereto of even date herewith.

More Definitions of Licensed Modules

Licensed Modules means the 724 Modules delivering banking and brokerage information as specified in Exhibit B (and each Update or Upgrade thereto which Licensee wishes to use in accordance with the terms thereof) and such other 724 Modules agreed to by the parties in a particular Licensed Affiliate Agreement.

Licensed Modules means the Modules that are licensed by Customer as listed on page 1 of this agreement.
