Licensed Core definition

Licensed Core means each AMD graphics processor core specified in Exhibit A, including (i) all RTL with respect thereto and all Licensed Software and GPG Software described in Exhibit A referencing such Licensed Cores, (ii) the Improvements to the [****] to complete integration for the [****] product (each according to AMD’s current classifications) thereto that AMD provides to Broadcom under the [****] support statement of work to the Transition Services Agreement, and (iii) the deliverables with respect to the [****] core (formerly known as the [****] core) that AMD provides to Broadcom pursuant to a letter agreement among the parties with respect to such deliverables, dated on or about the signing date of the APA.

Licensed Core. Licensed Core" means a design for an implementation as one or more integrated circuits, directed to the Sole and Open Fields, having at least one Licensed Sub-Part, and at least one of: (1) at least one fully functional WLAN baseband processor as specified and required by WLAN as defined herein; or (2) at least one fully functional WLAN MAC (media access controller) as specified and required by WLAN as defined herein, wherein such WLAN baseband processor or WLAN MAC is a significant value added component, and is comparable to that required by one or more of the following standards: IEEE 802.11, IEEE 802.11a, IEEE 802.11b, HomeRF, Proxim Range LAN, Proxim Range LAN2, Symbol Spectrum 1, Symbol Spectrum 24 as it existed prior to adoption of IEEE 802.11, HiperLAN1, or HiperLAN2. Any Proprietary Information from the ParkerVision Intellectual Property Pool contained in a Licensed Core must be concealed within the Licensed Core, such that no Proprietary Information from the ParkerVision Intellectual Property Pool is apparent from or exposed in the Licensed Core except through legally permissible reverse engineering.

Examples of Licensed Core in a sentence

  • Licensee may use and register, on Licensor’s behalf and in the name of Licensor, domain names that combine Licensed Core Trademarks with other terms that a consumer would reasonably believe to relate to the scope of Licensee’s rights hereunder.

  • Licensee shall have Field Products bearing any of the Licensed Core Trademarks produced in manufacturing facilities that operate under conditions in compliance with applicable Law.

  • Licensee shall not use any of the Licensed Core Trademarks except as expressly provided in this Agreement.

  • Except as otherwise agreed upon by the parties in writing in a statement of work to the Transition Services Agreement, Broadcom shall be solely responsible for porting and integrating the Licensed Core into a Broadcom Product and for the manufacture and testing of the Broadcom Products.

  • Licensee shall notify Licensor of the timing and procedures for the conduct of any recall by Licensee that involves any Field Product bearing any of the Licensed Core Trademarks, whether voluntary or mandated by Law or any Governmental Entity.

  • Licensee shall institute and conduct a recall, in the Territory, of any Field Product bearing any of the Licensed Core Trademarks to the extent required by Law or Governmental Entity.

  • Nothing in the foregoing sentence shall permit Licensee to transfer software contained in the Licensed Technology, the Licensed Tools, or the Sonics Licensed Core to third-parties, except as expressly permitted in Article 2.

  • Accordingly, each of the Exercised Baylor Target Antigens are deemed a Licensed Antigen and (ii) all Baylor Target Patent Rights covering or disclosing any Modified NKT Product directed to an Exercised Baylor Target Antigen are included in the Licensed Core Technology Rights.

  • Other co-branding or co-promotion of Licensed Core Trademarks, whether with Licensee’s brands and products or those of a third party, shall not require Licensor approval, but shall be consistent with the terms of this Agreement (including in all material respects in accordance with the Brand Identity Book).

  • Except for changes required to comply with applicable Law, Licensor shall not change the form of any of the Licensed Core Trademarks more than once in any twelve (12) month period.

Licensed Core is a single instance of a Job Execution Unit within the Software; “Licensed Quota” is the total amount of data (in bytes) available to all Licensed Cores of the Software as purchased with a Subscription or as part of the Evaluation Period for the execution of jobs. For each job executed by a Licensed Core, the amount of data processed at the ingress and egress points of the database drivers is metered and deducted from the Customer’s remaining Licensed Quota;
