License Request for Release from Dining License Only A student may request a release from just the dining license for documented reasons.
No Additional License Request shall become effective until and unless Discovery submits to Subscriber an updated Order Form with the information contained in the Additional License Request and any changes to the Fees.
Upon execution and delivery of such Pass-Through Sublicense, the Pass-Through Sublicense shall be subject to all of the terms and conditions of this Agreement as are applicable to any other Pass-Through Sublicense and Akouos shall have no further obligations under this Section 5.9 with respect to the Third Party License Request.
Any final Target Development Plan submitted under this Section 5.9.3(a) shall be subject to all of the terms and conditions of this Agreement as are applicable to any other Target Development Plan, and, upon such submission, Akouos will be required to continuously satisfy its diligence obligations as stated in this Agreement for the pursuit of such Target Development Plan, and shall have no further obligations under this Section 5.9 with respect to the associated Third Party License Request.
Following the receipt of a License Request pursuant to this Section 5.8, the Party receiving such License Request shall use reasonable discretion (exercised in good faith) to determine if such License Request (x) is sufficiently specific in nature and (y) would not materially impair the value of the Surface Right or other asset which is subject to such License Request.
If Pfizer timely makes a License Request, then, within a reasonable period of time, at Pfizer’s sole option, the Parties shall negotiate in good faith a transition plan on commercially reasonable terms that will include, at a minimum, a plan for accomplishing the activities described in this Section 13.5.2(c).
Subscriptions for Purchased Services by You commence on the start date specified in the applicable Order Form and/or License Request Form and continue in full force and effect until their automatic termination at the conclusion of the subscription term identified therein.
Should the Party receiving such License Request be satisfied that both clause (iii) and clause (iv) of this Section 5.6 be satisfied by such requested License, such Party shall prepare and deliver, without cost or fees to the other, such License; provided, however, such License shall contain language that it is non-exclusive and revocable and subject to (v) any applicable restrictions under any Existing Permits/Agreements, (vi) the other terms of this Agreement, and (vii) any applicable Laws.
If SharkNinja has not responded to any such Follow-Up License Request within twenty (20) days of SharkNinja’s receipt of such Follow-Up License Request, SharkNinja shall be deemed to have consented to the applicable License Request and Follow-Up License Request.
TDTx shall [***] commence good faith negotiations to enter into a Sublicense with the Third Party that submitted the Third Party License Request.
