License Note means the Amended and Restated Subordinated Secured Promissory Note, dated as of May 21, 2002, in the original principal amount of $6,557,908.53 issued by Borrower in favor of License Creditor in substitution for the Subordinated Secured Promissory Note, dated as of March 15, 2001, in the original principal amount of $7,200,000 issued by Borrower in favor of Ambra.
