License Maintenance definition

License Maintenance means, in the case of Perpetual Licenses, entitlement to subsequent versions of PA Products and Third Party Products named in the Appendix A and G, released after the Original Use Date, provided the subsequent version is currently a Supported Version.
License Maintenance. FEES: In partial consideration for the licenses granted pursuant to Section 2.3 hereto. CREATIVE shall pay to Licensor an annual license maintenance fee, in the amount of: (i) * *, payable in advance of each of years 1 through 5 of this First Amendment; and (ii) * (*), payable in advance of each of years 6 tough 10 of this First Amendment. Each license maintenance fee paid this Section 3.9 shall be treated as a non-refundable pre-payment against any and all fees paid or to be paid pursuant to section 3.5 (ii) hereto. Licensor may terminate the licenses granted to CREATIVE pursuant to Section 2.3, in the event that, within thirty (30) days after receipt by CREATIVE of a written notice of failure to pay pursuant to this Section 3.9, CREATIVE fails to make such maintain fee payment.

Examples of License Maintenance in a sentence

  • License Maintenance Fees paid in excess of Running Royalties shall not be creditable to Running Royalties for future years.

  • The specific Software License, Maintenance and Support services provided by ES&S and each party’s obligations with respect to such services are set forth on Schedule A1.

  • Any such Software License, Maintenance and Support shall be provided at the fees to be agreed upon by the parties if and when the need for such Software License, Maintenance and Support arises.

  • The Software License, Maintenance and Support Fee shall be comprised of (i) a fee for the Software License, Maintenance and Support provided for the ES&S Firmware, and (ii) a fee for the Software License, Maintenance and Support provided for all other ES&S Software, and shall be in addition to any fees or charges separately referred to in any Section of this Exhibit A.

  • All License Maintenance Fees shall be non-refundable and shall not be credited against any other payments that may be due hereunder.

  • Unless otherwise stated in the Order Schedule, for a Lease License, Maintenance during the license term is included in the Lease License fee.

  • The Annual License Maintenance Fee will be credited against royalties in the current fiscal year.

  • Subject to the payment of all Software License, Maintenance and Support Fees, ES&S hereby grants to Customer a non-exclusive license to use that portion of such corrections, programs, information and work product that ES&S actually delivers to Customer pursuant to this Exhibit A.

  • ES&S shall provide license, maintenance and support services (“Software License, Maintenance and Support”) for the ES&S Software and ES&S Firmware (collectively, “ES&S Software”), to allow Customer to continue to license and use the software in accordance with the license terms set forth in Sections 2-4 of the General Terms as well as to enable it to perform in accordance with its Documentation in all material respects, and to cure any defect in material or workmanship.

  • In the absence of a written letter of protest for an invoice, which needs to be sent within a period of 8 working days following the mailing date of the invoice, the invoice and all Software License, Maintenance and/or or Services stated on the invoice are considered to be irrevocably accepted and approved.

Related to License Maintenance

  • Software Maintenance means the process of modifying software after delivery to correct faults, improve performance or other attributes, or adapt to a changed environment. (Reference ISO/IEC 14764:2006, as amended or superseded.) Software maintenance does not include any customization or configuration.

  • Major maintenance means the adjustment, repair or replacement of a component or module that could affect the accuracy of a measurement.

  • Routine maintenance means actions performed on a regular or controllable basis or in response to uncontrollable events upon a highway, road, street, or bridge. Routine maintenance includes, but is not limited to, 1 or more of the following:

  • License Fees means the license fees, including all taxes thereon, paid or required to be paid by Licensee for the license granted under this Agreement.

  • License Key means a unique key-code that enables Licensee to run Software subject to the obtained User Pack.
