Licensee will be responsible for fulfilling all pharmacovigilance activities pursuant to the local regulations and requirements for the Licenced Products in the Territory and provide MPP and Pfizer with a report containing information regarding all such activities.
If this Agreement is terminated prior to its expiration, upon such termination Licensee shall cease all production and sale of Licensed Products except for the production and sale of Licenced Products on which production is completed prior to the notice of such termination.
Such share shall be determined having regard to the development stage which the Licencee (or its Sub-Licencee) has reached at the date of termination in respect of the Topical Licenced Products or Non-Topical Licenced Products.

The Grantee shall effectively carry out its development and marketing plan submitted with its application for the licence granted in this Licenced Agreement, and shall take those steps necessary to effectively bring the Licenced Product(s) to a point of practical application within a reasonable time, and shall make the Licenced Product(s) reasonably available to the public.
The foregoing obligations shall not apply in relation to contracts the Licencee enters into with Third Party Service Providers, provided that: (a) such contracts relate to the provision of services to the Licencee or a Sub-Licencee in connection with the Licenced Products; and (b) no rights are granted to the Third Party Service Provider to: (i) research, develop or manufacture its own products; or (ii) sell the Licencee’s Products.
Customers that are Academy Trusts are required to limit access to and use of Licenced Products to the specific school or schools that have requested any Lexonik Licence provided.
Virpax shall have no other obligations towards Nanomerics, express or implied, to Exploit Licenced Products in the Territory.
Each Licenced Product, and every component, sold by the Licensee shall be of good commercial quality .On reasonable notice the Licensor may inspect the manufacturing premises and the Licenced Products made by the Licensee in order to ensure that the Licenced Products and components meet this standard.
