For the avoidance of doubt, if for any reason Licensor fails to deliver a “clean” version of any Licensed Content other than Special Library Programs or live Programs described above, Licensee shall have the right to produce such a “clean” version, and Licensor shall pay (and promptly reimburse Licensee) for any costs in connection therewith upon provision by Licensee of appropriate documentation evidencing such costs.
Licensee shall pay Licensor the aggregate License Fees applicable to the Library Programs selected by Licensee hereunder.
Licensee will have full and immediate access to all masters and versions of Existing Library Programs, completed Output Programs and completed Wallpaper.
It is understood and agreed, subject to (and without limiting) Licensor’s representations and warranties set forth in Section 12.1, that Licensor may not presently have obtained all necessary Clearances for the digital distribution of all Library Programs in the Territory.
Without limiting the foregoing, Licensee may from time to time request from Licensor, and Licensor shall provide within a reasonable time, information about whether any particular Library Programs are not fully cleared for Licensee’s Broadcast by means of digital distribution in the Licensed Media throughout the Territory during the Term.
For the avoidance of doubt, if for any reason Licensor fails to deliver a “clean” version of any Licensed Content other than Special Library Programs or live Programs described above, Licensee shall have the right to produce such a “clean” version pursuant to Section 8.8(b)(v), and Licensor shall reimburse Licensee for the costs associated therewith as set forth in Section 8.8(f).
Upon receipt of such request, Licensor or an Affiliate thereof shall use commercially reasonable efforts (which may include paying industry standard fees and other costs that are customarily required for the Broadcast of similar content by similar means in the Territory) to obtain the requested Clearances in a timely fashion so as to permit Licensee to Broadcast such Library Programs in the applicable Licensed Media in accordance with the desired Broadcast schedule.
