Each determination of the LIBO Rate shall be made by the Administrative Agent and shall be conclusive in the absence of manifest error. Notwithstanding the foregoing, the LIBO Rate for purposes of the Term Loan shall not be less than one percent (1.00%) per annum and, with respect to the Term Loan, changes in the LIBO Rate shall be determined by the Administrative Agent as of the first day of each month. Each determination of the LIBO Rate shall be made by the Administrative Agent and shall be conclusive in the absence of manifest error.
