  • LHMI shall act as the "Tax Matters Partner" of the Company as that term is defined Section 6231 of the Code.

  • Further, LHMI shall not be in default under this Article V if the default resulted from actions taken at the request or direction of the Board of Directors or if the Board of Directors failed to take reasonable action recommended by LHMI to enable it to meet its obligations hereunder.

  • If LHMI and the Investor Member disagree with whether a Change of Law Event exists and that disagreement is not resolved among such parties within the following thirty (30) days, then that disagreement shall be resolved by arbitration under Section 12.16 hereof.
