  • Chancellor LGT shall be protected in any action or in action that it takes in reliance on any directions, advice or Oral or Written Instructions received pursuant to this Section that Chancellor LGT, after the receipt of the same, in good faith believes to be consistent with such directions, advice or Oral or Written Instructions, as the case may be.

  • The parties hereto acknowledge, however, that Chancellor LGT causing an error or delay in the determination of net asset value may, but does not in an of itself, constitute negligence or willful misfeasance.

  • Nevertheless, Chancellor LGT will use its best judgment in determining whether to verify through other sources any information that it has received as to quotations or corporate actions if Chancellor LGT has reason to believe that any such information is incorrect.
