Leverage Reset Date definition

Leverage Reset Date means the earlier of (i) the first day of the fourth fiscal quarter of the 2018 fiscal year of the Parent and (ii) the date on which the Administrative Agent receives a notice from the Parent requesting that the Leverage Reset Date occurs provided that the certificate of Responsible Officer of the Parent delivered to the Administrative Agent pursuant to Section 5.1(c) as of the end of the immediately preceding fiscal quarter demonstrated that the Lease Adjusted Leverage Ratio is less than or equal to 4.75 to 1.00.
Leverage Reset Date means the first date following the Offer Termination Date on which the Company's long-term unsecured debt is rated at least A- by S&P and A3 by Mood▇'▇.
