By its signature below, the Additional Lender hereby joins the Credit Agreement as a Lender, and establishes a Revolving Commitment to the Borrower in the amount of the Additional Lender Commitment Amount.
Upon the acceptance of this Joinder by the Administrative Agent, the Aggregate Revolving Commitment Amount shall automatically be increased by an amount equal to the Additional Lender Commitment Amount and Annex I of the Credit Agreement shall automatically be deemed amended to reflect the Revolving Commitment of the Additional Lender committed hereunder.

Subject to the terms and conditions of this Agreement and the other Loan Documents, and in reliance upon the representations and warranties of the Borrower set forth herein and in the other Loan Documents, each of the Lenders agrees to make an Advance in an amount equal to such Lender’s Lender Commitment Amount on the date that this Agreement is fully executed and delivered or such other date as approved by the Administrative Agent.
Subject to Section 3.2, the undrawn portion of any Non-Agreeing Lender Commitment Amount in respect of the Syndicated Facility will be automatically cancelled at 5:01 p.m. (Toronto time) on the Term Conversion Date applicable to such Non-Agreeing Lender.
