Lender Accession Deed definition

Lender Accession Deed means a deed substantially in the form set out in Schedule 17 (Form of Lender Accession Deed) signed by the Borrower, the Guarantors, the Agent, the Security Agent, the relevant Increase Lender and/or Accession Lender.

  • For the avoidance of doubt, a Transfer Certificate, Assignment Agreement or Lender Accession Deed shall not be invalidated by any failure of a Lender to comply with this Clause 14.5.

  • Each of the Parties appoints the Security Trustee to receive on its behalf each Obligor Accession Deed and Lender Accession Deed delivered to the Security Trustee and to accept and sign it if, in the Security Trustee’s opinion, it is complete and appears on its face to be authentic and duly executed and until accepted and signed by the Security Trustee that document shall not be effective.

  • Any person which becomes an Agent as defined in, and in accordance with, the terms of the Senior Facility Agreement, shall at the same time accede to this Agreement by executing and delivering to the Security Trustee a Lender Accession Deed.

  • A bank or other financial institution which is not an Original Lender may become a Lender for the purposes of this deed by entering into a duly completed and executed Lender Accession Deed with ▇▇▇▇ (on behalf of itself and each other Transaction Party).
