Legal Structure. The Texas Electric Utility Restructuring Act provides, among other things, that the Transition Property is a present property right created pursuant to such Act and the Financing Order, that a sale of Transition Property under specified terms is a "true sale," that a first-priority lien can be granted in the Transition Property, that such a lien can be perfected, that the TCs are non-bypassable and not subject to setoff, and that the Financing Order will remain in effect notwithstanding the bankruptcy of the electric utility.
