LEDC shall assure that no person is discriminated against based on the grounds of age, sex, race, religion, national origin or disability in connection with the performance of this Agreement.
Such review may occur with or without notice and may include, but is not limited to, on-site inspection by County or LEDC agents or employees, inspection of all records or other materials which the Parties deem pertinent to the MOU and its performance, and any and all communications with or evaluations by service recipients under this MOU.
An impartial third party acceptable to both the County and LEDC will be appointed to mediate.
In the event that the Corporation gives the LEDC notice of default and no plan satisfactory to the Corporation to remedy such an event of default is implemented within such period and being fully and diligently carried out as provided in paragraph 28(b), the Corporation shall have no obligation to make any further payments under this Agreement prior to the end of the period given to the LEDC to remedy the event of default.

As applicable, LEDC shall be required to have an audit and must ensure all audits are performed in accordance with Generally Accepted Auditing Standards (GAAS); including, but not limited to, the Government Auditing Standards (the Revised Yellow Book) developed by the Comptroller General.
All work submitted by LEDC shall be certified by LEDC and checked for errors and omissions.
Failure of LEDC to fulfill such a commitment shall render LEDC liable for damages to the County.
This provision does not waive any of L&I’s rights to collect from LEDC.
LEDC shall instruct the insurers to give the County thirty (30) calendar days advance notice of any insurance cancellation or modification.
