In the event of a conflict between the terms of the Lease, Settlement Agreement and/or the terms of this First Amendment, the terms of this First Amendment shall govern.

Each Party will be responsible for paying its/their own attorneys’ fees, costs and expenses arising out of or connected with the Lease, Settlement Agreement, Litigation, Receivership and the Claims, including, but not limited to the preparation and execution of this Agreement.
The Debtors shall pay all unpaid amounts accrued pursuant to paragraph 9 of the Second Interim HVF Master Lease Settlement Order through the HVF II Notes Repayment Date, provided, that prior to the payment of any such amounts the applicable Entities shall have complied with paragraph 10 of the Second Interim HVF Master Lease Settlement Order.
In the event of such written notice to the City terminating this Agreement, all Project Approvals (but not the Lease, Settlement Agreement and those included in the City’s General Plan and/or the Municipal Code), shall terminate and be extinguished.
Borrower's obligation to pay the monthly amount for deposit into the Leasing Escrow Fund shall be suspended during any time when the balance in the Leasing Escrow Fund (exclusive of the amount of Lease Settlement Payments in connection with any Lease at the Security Property for less than 3,500 square feet of space that have been deposited therein) equals or exceeds $2,495,625.00.
