Commencing on February 1, 1999, the Company will pay to Harcourt a quarterly guarantor's fee, payable in advance on the first business day of each February, May, August and November in an amount equal to the product of (a) the Fee Percentage multiplied by (b) the Present Value Lease Exposure as of such day.
