Lead Materials definition

Lead Materials means a Material (including a Novel Material) synthesized or identified within a Project and that meets the specific physical, chemical and/or catalytic properties initially established in the Research Plan for the Project, or as modified by the Advisory Committee, for identifying a Lead Material. The procedure for confirming a Lead Material is set forth in Exhibit I. Any Material that is synthesized or identified (including an ExxonMobil Proprietary Material) in an active Project and transferred or made known by Symyx to EMRE or EMCC or one of their Affiliates and subsequently commercialized by or under authority of EMRE, EMCC or one of their Affiliates in the Project for which it was identified will be deemed a Lead Material.

Examples of Lead Materials in a sentence

  • With respect to any SOW being terminated, Buyer’s obligation and liability to Seller shall be payment for: (i) all Manufacturing Activities within the scope of that SOW which were performed up to the effective date of termination, including any expenses for Long Lead Materials and NCNR materials; (ii) any approved out-of-pocket expenses up to and including the effective date of termination; and (iii) all services requested by Buyer following notice of termination.

  • Further, Symyx will communicate to ExxonMobil in writing the materials and conditions used to synthesize the potential Lead Materials.

  • Symyx and ExxonMobil or its Designee shall report to the respective Research Committee for a Project all inventions relating to Lead Materials or Program Technology made as part of performing the Research Program.

  • After selection of the Royalty-Bearing Projects, ExxonMobil or its Designee shall disclose to Symyx all inventions relating to Derivative Materials derived from Lead Materials identified by Symyx for use in the *, but only until expiration or termination of the applicable royalty obligation.

  • Except as provided in Section F2(b), following the identification of any potential Lead Material, at ExxonMobil’s request, Symyx shall prepare and deliver to ExxonMobil or its Designee reasonable gram quantities of Lead Material(s), which ExxonMobil shall use in confirming whether such potential Lead Material meets the applicable lead criteria.

  • Examples of target criteria for Lead Materials are or will be set forth in the Lead Material Criteria Section of the applicable Research Plan.

  • Except as provided in Section F2(b), following the identification of any potential Lead Material, at ExxonMobil's request, Symyx shall prepare and deliver to ExxonMobil or its Designee reasonable gram quantities of Lead Material(s), which ExxonMobil shall use in confirming whether such potential Lead Material meets the applicable lead criteria.

  • Each party participating in a Project hereunder will report all inventions relating to Lead Materials or Project Technology developed in the course of such Project to the applicable Research Committee.

Related to Lead Materials

  • Cloud Materials means any materials provided or developed by SAP (independently or with Provider’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Consulting Services to Provider or its Customers. Cloud Materials do not include any Customer Data, Provider Confidential Information, or the SAP Cloud Service.

  • SAP Materials means any software, programs, tools, systems, data, or other materials made available by SAP or any other member of the SAP Group to Partner or to an End User (either directly or indirectly via Partner) prior to or in the course of the performance under any part of this Agreement including, but not limited to, the other SAP Products.

  • IP Materials has the meaning given to it in clause E8.1 (Intellectual Property Rights).

  • Background Materials means all Intellectual Property Rights, know-how, information, methodologies, techniques, tools, schemata, diagrams, ways of doing business, trade secrets, instructions manuals and procedures (including, but not limited, to software, documentation, and data of whatever nature and in whatever media) owned, developed or controlled by the Supplier which may have been created outside the scope, or independently of, the Services and/or this Agreement, and including all updates, modifications, derivatives or future developments thereof. Business Day: a day other than a Saturday, Sunday or public holiday in England when banks in London are open for business. Business Systems: the information technology and communication systems, including networks, hardware, software and interfaces owned by, or licensed to, the Customers or any of its agents or contractors.

  • Supplier Materials has the meaning given in clause 8.1(h).
