LDC Financing definition

LDC Financing means all present and future loans, letters of credit and other extensions of credit provided to LDC, including any loans, letters of credit and other extensions of credit made pursuant to that certain Amended and Restated Credit Agreement, dated as of February 11, 2015, among LDC, as borrower, KeyBank National Association, as administrative agent, and the lenders party thereto from time to time, as amended, restated, modified, supplemented, extended or replaced from time to time.

  • For the avoidance of doubt, no Lender or LDC Financing Source shall have any obligation or liability under this Section 12.19(d).

  • Notwithstanding the foregoing, the definitions of “Lenders”, “LDC Financing” and “LDC Financing Sources”, Section 6.21(b), Section 9.9, Section 12.2, this Section 12.7, Section 12.11 and Section 12.20 shall not be amended in a manner that is adverse in any material respect to (i) the Lenders without the prior written consent of the Lenders or (ii) the LDC Financing Sources without the prior written consent of the LDC Financing Sources.

Related to LDC Financing

  • Co-financing means the financing referred to in Section 7.02 (h) and specified in the Loan Agreement provided or to be provided for the Project by the Co-financier. If the Loan Agreement specifies more than one such financing, “Co-financing” refers separately to each of such financings.

  • New Financing means the Indebtedness incurred or to be incurred by Holdings and its Subsidiaries under the Credit Documents (assuming the full utilization of the Revolving Commitments) and all other financings contemplated by the Credit Documents, in each case after giving effect to the Transaction and the incurrence of all financings in connection therewith.

  • Bridge Financing means interim financing to cover Eligible Project Costs until DWSRF financing for the project is received from the State Water Board.

  • Securitization Financing means any transaction or series of transactions that may be entered into by the Borrower or any of its Subsidiaries pursuant to which the Borrower or any of its Subsidiaries may sell, convey or otherwise transfer to (a) a Securitization Subsidiary (in the case of a transfer by the Borrower or any of its Subsidiaries) or (b) any other Person (in the case of a transfer by a Securitization Subsidiary), or may grant a security interest in, any Securitization Assets of the Borrower or any of its Subsidiaries, and any assets related thereto, including all collateral securing such Securitization Assets, all contracts and all guarantees or other obligations in respect of such Securitization Assets, proceeds of such Securitization Assets and other assets that are customarily transferred or in respect of which security interests are customarily granted in connection with asset securitization transactions involving Securitization Assets.

  • Existing Financing means the financing arrangements that provided for a security interest granted by Company in the Aircraft and that were outstanding on August 3, 2020.
