  • Notwithstanding any provision of this Agreement or in any other Loan Document, express or implied, in no event shall ▇▇▇▇ or LCHI be obligated to make any payments in respect of an Obligation of the Company, LUSA or a Loan Party that is a U.S. person, it being the intention of the parties hereto to avoid adverse tax consequences due to the application of Section 956 of the Code.
