Neither the Borrower nor the Launch Supplier has taken any action to suspend the Launch Contract.
Notwithstanding any provision to the contrary and for the avoidance of doubt, the Borrower acknowledges and agrees that the Facility may not be used to reimburse the Borrower for payments made in respect of any goods and services that are not eligible for financing under this Agreement or to a supplier that is not the Launch Supplier.

The Launch Contract has been duly authorized, executed and delivered by the Borrower and the Launch Suppler, is in full force and effect and binding upon and enforceable against the Borrower and the Launch Supplier in accordance with its terms.
The Borrower, and to the best of its knowledge, the Launch Supplier, is in compliance in all material respects with the terms and conditions of the Launch Contract and no event has occurred that could reasonably be expected to (i) result in an event of default under, or a material breach of, the Launch Contract or (ii) result in the revocation, termination or adverse modification of the Launch Contract.
