Late Orders definition

Late Orders. Customer shall have the right to debit its payables balance with Supplier by the Late Order Fee for any such Late Order, which right shall be limited to one Late Order Fee for each Late Order. Except with respect to the partial loss of exclusivity provided for in Section 9.3.1 and the rights provided for in Sections 9.3.2, 9.3.3, 9.3.4, 9.3.5 and 9.3.6, the Late Order Fee shall be Customer’s sole remedy, and Supplier’s sole liability, for each Late Order. Supplier shall have the right to dispute any Late Order Fee debit, and if such a debit is subsequently reversed it shall bear interest as provided in Section 10.2.1.
Late Orders. In the event that at the end of each of [*****] Days there are [*****] or more Late Order(s) unshipped, and to the extent consistent with Prevailing Practices, Supplier must at its own expense schedule all qualified employees, including sufficient available temporary labor, to work the maximum amount of overtime (either extended hours in a Working Day or on non-Working Days) permitted under German law or union agreement(s) until there have been no Late Orders for [*****] Days. Subject to Section 5.15, Supplier will not charge Customer any amount over and above the prices shown on Schedule 10.1 for the above. Any Order and all Late Orders remaining outstanding at the end of [*****]must be shipped during the immediately [*****] with any incremental expenses due solely to the lateness of such shipments (including overtime or temporary labor, special shipping charges, etc.) to be at Supplier’s cost .

Examples of Late Orders in a sentence

  • If a cancellation or amendment request is received by Bank before the wire transfer is executed and with sufficient time to afford Bank an opportunity to act upon your request, Bank may, on its own initiative but without obligation, make a good faith effort to act upon such request.

  • Except where otherwise stated, these Terms and Conditions will apply to Quotations, Client Orders, Site Orders, Late Orders and any other sales orders placed with ▇▇▇▇▇▇▇ by a Client and apply to any variation or cancellation of a Client Order.
