Assets all of the following: 1 the Land; 2 the Vendor’s interest in the Leases and the Lease Guarantees; 3 the Building and other improvements on the Land; and 4 the FF&E,but excludes the Excluded Assets.
The Premises are intended to include (1) all buildings and improvements now or hereafter located on the Land, (2) any strips or gores of land adjoining the Land, (3) any land lying in the bed of any street or avenue abutting the Land, to the centerline thereof, and (4) a non-exclusive right to use any easements or other rights in adjoining property inuring to the Company by reason of the Company’s ownership of the Land.

As at the date of the Agreement, Hengxiang Development had completed construction on Land 1 for GFA of approximately 29,000 sq.m. out of a total GFA of approximately 100,121 sq.m and completed construction on Land 2 for GFA of approximately 64,000 sq.m. out of a total GFA of approximately 138,297 sq.m..
However, pursuant to Rule 14A.81 of the Listing Rules, the Transactions contemplated under the Agreements shall be aggregated given (1) the Agreements are or will be entered into by the wholly-owned subsidiaries of the Company and the wholly-owned subsidiaries of CR Land; (2) the Transactions will be entered into within a 12-month period; (3) the Transactions involve the construction and development of the Land.
