Laboratory Business definition

Laboratory Business means the business conducted by Seller at the Laboratory Premises.

  • In the event that, for any reason, the Distribution does not occur, this Agreement shall terminate and neither Sybron, SDS, any Laboratory Business Subsidiary, nor any Dental Business Subsidiary shall incur or retain any liability to any other party in connection therewith.

  • Sybron also is solely responsible for any Sybron Benefit Plan which Sybron maintains, on or after the Effective Date, for the benefit of Laboratory Business Employees, Former Dental Business Employees, or any of their respective dependents or beneficiaries.

  • Sybron and the Laboratory Business Subsidiaries shall not use or permit the use of any trademarks or trade dress that are confusingly similar to the Trade Name.

  • Sybron and the Laboratory Business Subsidiaries shall use the Products in the same manner as they had prior to the Effective Date.

  • Sybron agrees to cause the trustee of the Sybron VEBA Trust to transfer assets to the SDS VEBA Trust equal to the ratio of the actuarially computed value of the future premium payment stream for such eligible Dental Business Employees and their dependents or beneficiaries to the total actuarially computed value of the future premium payment stream for all eligible Laboratory Business Employees, eligible Dental Business Employees and their dependents or beneficiaries under the Sybron VEBA Trust.

  • By this Agreement, and except as specifically otherwise provided in the Contribution Documents, Sybron does not intend to transfer, assign or convey to SDS, and/or have SDS assume, as the case may be, any of the assets and liabilities of the Laboratory Business or Laboratory Business Subsidiaries.

  • It is acknowledged that, prior to and after the Effective Date, Sybron, SDS, the Laboratory Business Subsidiaries, and the Dental Business Subsidiaries may have arms-length negotiated business relationships between and among each other, which relationships are or shall be described in contracts, agreements and other documents entered into in the normal course of business.

  • Sybron is solely responsible for any Sybron Benefit Plan which Sybron or the Dental Business Subsidiaries maintained, prior to the Effective Date, for the benefit of Laboratory Business Employees, Dental Business Employees, or any of their respective dependents or beneficiaries, other than any Sybron Benefit Plan which the Dental Business Subsidiaries maintained, prior to the Effective Date, solely for the benefit of Dental Business Employees or their dependents or beneficiaries.

  • In the case of an asset or liability, if any, which relates to, arises out of, or is associated with both the Dental Business and the Laboratory Business, both parties agree to apportion the asset or liability among the parties in accordance with their respective interests in or responsibility for such asset or liability.

  • Nothing in this Agreement shall limit the rights of Sybron and the Laboratory Business Subsidiaries to amend, merge, modify, terminate, eliminate, reduce or otherwise alter in any respect any Sybron Benefit Plan, any benefit under any Sybron Benefit Plan, or any contract, trust, insurance policy, or other funding vehicle related to any Sybron Benefit Plan (to the extent permitted by law).
