Each Party shall cause its Affiliates to comply with the provisions of this Section 10.09 as if such Affiliates were a party to this Agreement and each Ancillary Agreement, other than the Lease and Operating Agreement, the Lease Agreements and the LLN Lab Lease and Services Agreements, shall incorporate this Section 10.09 by reference as if fully set forth therein.
After the Closing, subject to the foregoing, this Article VIII will provide the exclusive remedy against the Seller or any of its Affiliates for any breach of any representation, warranty, covenant or other claim arising out of or relating to this Agreement or any Ancillary Agreement (other than the Lease and Operating Agreement, the Premises Lease and Services Agreements, the Lease Agreements and the LLN Lab Lease and Services Agreements) and/or the Transactions.
