Komo Unit definition

Komo Unit means a unit consisting of one (1) Komo Share and one (1) Komo Warrant. (rr) “Komo Unit Warrants” means the warrants to acquire 4,528,033 Komo Units at an exercise price of $1.00 per Komo Unit, expiring on the earlier of:

  • The Parties acknowledge that, as at the Effective Time, the Komo Unit Warrants shall cease to represent a right to acquire Komo Units and shall instead provide the right to acquire TASK Units, all in accordance with the adjustment provisions provided in the certificates representing the Komo Unit Warrants.

  • Notwithstanding the foregoing, the Parties acknowledge that at the Effective Time (a) each Komo Unit Warrant shall be replaced by a warrant to acquire one (1) TASK Share in lieu of one (1) TASK Unit and (b) the exercise price of each such warrant shall be reduced from $1.00 to $0.20, and agree to take any and all action required by applicable Law in order to evidence those adjustments.
