  • At or prior to the Closing, KNE shall cause KNPC to distribute to KNE the amount reflected as a liability for such taxes on the financial statements of KNPC as of and for the period ended December 31, 1995, to the extent not previously distributed to KNE.

  • KNPC and KNE shall have delivered to TBI a Certificate or Certificates dated the Closing Date, in form and substance satisfactory to TBI and its counsel, certifying that the representations and warranties of KNPC and KNE contained in this Agreement are true and correct on and as of the Closing Date.

  • From and after the Effective Date, and until thereafter amended as provided by law, the Bylaws of KNPC as in effect immediately prior to the Effective Date shall continue to be the Bylaws of the Surviving Entity.
