Know-how/Technology definition

Know-how/Technology. “Know-How Technology” shall mean Dow’s proprietary, non-public technical information and materials (including without limitation, technology, data, bacterial strains, genetic constructs, computer software and algorithms for controlling fermentation vessels and related equipment, chemicals, inventions (patentable or otherwise), practices, methods, knowledge, know-how, skill, and experience) related directly or indirectly to the Pfēnex Expression Technology™.
Know-how/Technology means information and date including formulae Technology design specifications, techniques, procedures, plans, discoveries and inventions (whether patented or not) as used at any time by the Licensor in growing, marketing and selling Shiitake Mushrooms including the production of Logs and Spawn as well as other exotic and medicinal mushrooms and mushroom by-products at their facilities in Singapore and by any other licensees wherever legally possible, which pertain to the use and exploitation of the Process or the cultivation or marketing and sale of Shiitake Mushrooms and other exotic mushrooms by means of the Process, together with any further information or date pertaining thereto as may be available with the Licensor.
Know-how/Technology means all information and data including formulae Technology design specifications, techniques procedures, plans, discoveries and inventions (whether patented or not) as used at any time by the Licensor in growing, marketing and selling Shiitake Mushrooms including the production of Logs and Spawn as well as other exotic and medicinal mushrooms at their facilities in Singapore and by any other licensees wherever legally possible, which pertain to the use and exploitation of the Process or the cultivation or marketing and sale of Shiitake Mushrooms and other exotic mushrooms by means of the Process, together with any further information or data pertaining thereto as may be available with the Licensor.

Know-how/Technology means all information, documentation and data including formulae, recipes, designs, specifications, techniques, manufacturing process and procedures, plans, discoveries and inventions (whether patented or not) as used at any time in the manufacturing, production, marketing and sale of the Products.
Know-how/Technology means Dow’s proprietary, non-public technical information and materials (including without limitation, technology, data, [**], computer software and algorithms for controlling [**] and related equipment, chemicals, inventions (patentable or otherwise), practices, methods, knowledge, know-how, skill, and experience) related directly or indirectly to the Pfénex Expression Technology™. Know-how/Technology means all information and data including formulae designs specifications techniques procedures plans discoveries and inventions (whether patented or not) used at any time by Everbloom in growing, marketing and selling Shiitake Mushroom and other exotic mushrooms at their facilities in Singapore and by any other licensees wherever legally possible, which pertain to the use and exploitation of the Process or the cultivation or marketing and sale of Shiitake Mushroom and other exotic mushrooms by means of the Process, together with any further information or data pertaining thereto as may be vailable with Everbloom.

Related to Know-how/Technology

  • Program Technology means Program Know-How and Program Patents.

  • Know-How means all know-how, trade secrets, inventions, data, processes, techniques, procedures, compositions, devices, methods, formulas, protocols and information, whether or not patentable, which are not generally publicly known, including, without limitation, all chemical, biochemical, toxicological, and scientific research information, whether in written, graphic or video form or any other form or format.

  • Licensee Technology means the Licensee Know-How and Licensee Patents.

  • Background Technology means all tools, programs, designs, processes, formulas, techniques, improvements, inventions, works of authorship, software, data, know-how, ideas, methodologies, specifications, code libraries, algorithms, protocols, routines, subroutines, network systems, machine learning models, Trade Secrets (defined below), and other technology which are: (a) created, developed, owned, or licensed by PickNik prior to the Effective Date of this Agreement; (b) are created, developed, owned, or licensed by PickNik during the term of this Agreement but not delivered as a part of the Software; (c) which have general applicability to PickNik’s business and which are not based on any Company Confidential Information; or (d) modifications of or derivatives to any of the foregoing.

  • Licensor Technology means the Licensor Patents and the Licensor Know-How.
