  • Unless otherwise agreed in writing by Kluane First Nation, the Services will be performed by [Name of person performing Services] on behalf of the Consultant.

  • The Consultant will indemnify and hold the Kluane First Nation free and harmless from any cost (including legal fees on a solicitor and own client basis), expense, loss, obligation or damage suffered or incurred by the Kluane First Nation as a result of any suit, proceeding or otherwise to the extent that they are based upon a claim that any portion of the Services or Work Product infringes any patent, copyright, license, trade secret or other right.
