Subject to the terms and conditions of this Agreement, Kite hereby grants to Sangamo a royalty-free, non-exclusive license, with the right to grant sublicenses only to its Affiliates and subcontractors, under the Kite Technology, Joint Patents and Joint Inventions, solely to conduct those activities allocated to Sangamo in the Research Plans or those activities performed by Sangamo at Kite’s request in Sections 5.1(b), 6.1, 6.2 and 7.3.
DS shall not, and shall not permit any of its Affiliates or Sublicensees to, practice any Kite Technology or any Collaboration Technology solely owned by Kite outside the scope of the licenses granted to it under this Agreement.

To Kite’s Knowledge, Kite, its Affiliates, licensees and contractors have performed in all material respects development work, including manufacturing, supply, packaging, and distribution of clinical supplies, in compliance with all Applicable Laws (including GMP and the Anti-Corruption Laws); and there is no actual, pending, or threatened in writing, adverse action of any Regulatory Authority, with respect to the IND Products, or Kite Technology.
You have historically been purchasing Microsoft products through Kite Technology Group with month-to-month terms.
For clarity, the license granted to DS under any particular Kite Technology shall be exclusive as to any Third Party only to the extent Kite Controls the exclusive rights to such Kite Technology.
To Kite’s Knowledge, Kite is not aware of any activities by Third Parties that constitute infringement or misappropriation of the Kite Technology within the Territory.
To Kite’s Knowledge, there are no actual, pending, or threatened in writing, adverse actions, suits, claims, interferences, or formal governmental investigations involving the IND Products, or Kite Technology by or against Kite, any of its Affiliates, licensees, or contractors in or before any court, governmental entity or Regulatory Authority.
Kite has sufficient legal and/or beneficial title, ownership or license, free and clear from any Third Party mortgages, pledges, liens, security interests, conditional and installment sale agreements, encumbrances, charges or claims of any kind, of the Kite Technology to grant the licenses to DS as purported to be granted pursuant to this Agreement.
If you do nothing, Microsoft will begin to assess, and Kite Technology Group will be required to ▇▇▇▇ and collect on Microsoft’s behalf, a 20% premium for your month-to-month purchases of Microsoft products.
