• Notwithstanding the foregoing, and subject to Section 2.1(c), KeyTech shall bear and be responsible for any stamp duties or other similar Taxes payable by KeyTech or any of its Subsidiaries arising from the KeyTech Share Issuances.

• KeyTech shall have obtained the Required KeyTech Vote with respect to the KeyTech Amendments, the KeyTech Share Increase, the KeyTech Share Issuances, the listing on the BSX of the new KeyTech Common Shares issued pursuant to such KeyTech Share Issuances, and the KeyTech Board Reorganization.
