Key Client definition

Key Client shall have the meaning set forth in the letter agreement, dated as of the date hereof, among the Parent, the Merger Sub and the Company, relating to certain Advisory Agreements.
Key Client means any underwriter, producing intermediary or insured client of the Group Companies which in the 12 months to 28 February 2014 generated aggregate revenue for the Group Companies in excess of £90,000;
Key Client means any client or affiliate partner from which the relevant party earns $(***) or more in annual gross revenue, and (ii) ”Competitive Bid Opportunity” means a commercial agreement between the Key Client and Supplier or Client (as the case may be) that is due to expire and such Key Client is actively exploring alternatives by requesting proposals from and/or distribution requests for proposals to third parties. Each of Supplier and Client will provide to the other a list of its Key Clients as soon as reasonably practicable and thereafter will provide an updated list, as soon as reasonably practicable upon written request of the other party, semi-annually until December 31, 2010.

  • As of the date hereof, no Acuren Key Vendor or Acuren Key Client has notified any Acuren Entity (or any of their respective Representatives) in writing that it intends to terminate its business relationship with such Acuren Entity.

  • Should either MyKey or the Client, for any reason whatsoever, decline the set-up of the Key Client Account, the Supplier will be notified.

  • To assist with this, Sovereign shall maintain for Anglian:-  A list of all Collaborative Partners (Appendix ‘J’)  Stock Profiles for all Purchasing Partners (Appendix ‘K’)  A list of all Key Client Contacts (Appendix ‘L’) They shall also assist in establishing estimated Planned Programmes of Work.


More Definitions of Key Client

Key Client means any client or affiliate partner from which the relevant party earns $1,000,000 or more in annual gross revenue, and (ii) ”Competitive Bid Opportunity” means a commercial agreement between the Key Client and Supplier or Client (as the case may be) that is due to expire and such Key Client is actively exploring alternatives by requesting proposals from and/or distribution requests for proposals to third parties. Each of Supplier and Client will provide to the other a list of its Key Clients as soon as reasonably practicable and thereafter will provide an updated list, as soon as reasonably practicable upon written request of the other party, semi-annually until December 31, 2010.
Key Client has the meaning given in Schedule 2 of the Disclosure Letter;
Key Client has the meaning ascribed to such term in Section 2.5(b).

Related to Key Client

  • End Client means the end client (if any) in respect of the project in connection with which the Supplier is providing its Services as a sub-contractor;

  • Retail Client means a client who is not a professional client;

  • The Client means the organization purchasing the service.

  • Potential Client means any person or entity to whom the Company has offered (by means of a personal meeting, telephone call, or a letter or written proposal specifically directed to the particular person or entity) to serve as investment adviser or to provide or distribute insurance products but which is not at such time an advisee, investment advisory or insurance customer, distributor or client of the Group or any person or entity for which a plan exists to make such an offer; persons or entities solicited or to be solicited solely by non-personalized form letters and blanket mailings are excluded from this definition;

  • Prospective Client means any person or entity to which the Corporation, or any of its Subsidiaries, provided, or from which the Corporation, or any of its Subsidiaries received, a proposal, bid, or written inquiry (general advertising or promotional materials and mass mailings excepted) and with which the Participant had contact, or about which the Participant had access to Confidential Information, during the last twelve (12) months of his or her employment.
