Subject to the provisions of Section 7.3, during the term of this Agreement, Key Bank USA will keep in full force and effect its existence, rights and franchises as a national banking association under the laws of the jurisdiction of its organization.
The Master Servicer (so long as it is Key Bank USA, National Association) hereby acknowledges that it does not currently have possession, and agrees that it will not at any time in the future take physical possession, of any Financed Student Loan Files.
