KDG will make actual payment of all other Covered Expenses ("Other Covered Expenses").

A copy of any other authorisation or other document, opinion or assurance which the Facility Agent, acting reasonably having regard to the Security Principles, notifies KDG is necessary in connection with the entry into and performance of, and the transactions contemplated by, the Security Document or for the validity and enforceability of any Finance Document.
As at the date of this Agreement, KDG does not conduct any business or own any assets other than the assets and activities referred to in Clause 19.20 (Holding Companies).
