Kaseya refers Kaseya US, LLC as well as any affiliate and parent companies such as Datto, Unitrends, ITG Software, AudIT Systems, RocketCyber, TruMethods, Spanning, RapidFire Tools, BNG, Technology Marketing Toolkit, and Autotask, Bitdam and Backupify, and under this License, we may refer to "Kaseya" as "we", "our", or "us.” This License forms a binding, legal contract between Kaseya and you regarding your access to and use of any API, and governs your relationship with Kaseya for such purposes. Kaseya may provide additional terms that are applicable to a specific API, and those more specific terms will also govern your use of that API. If there is a conflict between the specific terms and this License, the more specific terms will control. Kaseya provides you with access to the API so that you may develop or use integrations (each an “Integration”) between software applications, products and/or services (“Target Services”) and Kaseya Products. PLEASE READ THIS LICENSE CAREFULLY. BY ACCESSING OR USING AN API, BY CLICKING TO ACCEPT THIS LICENSE, AND/OR BY SIGNING THIS LICENSE, YOU AGREE TO COMPLY WITH THE LICENSE AND ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THE LICENSE. IF YOU ARE USING THE API AND/OR ACCEPTING THIS LICENSE ON BEHALF OF AN ENTITY (REGARDLESS OF WHETHER THE ENTITY IS YOUR EMPLOYER, OR A THIRD-PARTY TO WHOM YOU PROVIDE SERVICES), YOU REPRESENT AND WARRANT THAT: (A) YOU HAVE NOTIFIED SUCH ENTITY OF THIS LICENSE; (B) YOU HAVE PROVIDED A COPY OF THIS LICENSE TO THE ENTITY, AND; (C) YOU HAVE THE AUTHORITY TO BIND THAT ENTITY TO THIS LICENSE. WHEN AN INDIVIDUAL ACCEPTS THIS LICENSE ON BEHALF OF AN ENTITY, THE TERM “YOU” REFERS TO BOTH THE INDIVIDUAL AND THAT ENTITY. ▇▇▇▇▇▇ may modify this License at any time, and if you do not agree with the modification, you must cease use of the API. Your continued use of the API constitutes your acceptance of the modified License.

Kaseya means Kaseya US, LLC if Customer is within the United States, or if Customer is outside of the United States, the affiliate of Kaseya US, LLC, with which Customer entered into the Agreement.

  • In no event shall Parent, Merger Sub, Kaseya Parent or Kaseya Inc.

  • Kaseya and its affiliates, suppliers and licensors own and retain all right, title and interest in and to: (a) the Software, Service, and Documentation (including all copies, components thereof and all upgrades, modifications, enhancements and derivative works thereof); and, (b) all copyrights, patent rights, trade secret rights, trademark and other intellectual property and other proprietary rights embodied in or relating to the Software, Service or Documentation.

  • Except as set forth in this Agreement, as between Kaseya and Licensee, Licensee retains all right, title, and interest in and to Customer Data.

  • The information supplied or to be supplied by Parent, Kaseya Parent, Kaseya Inc.

  • Except as set forth in Section 4.4 of the Parent Disclosure Letter, no Governmental Authorization is required on the part of Parent, Kaseya Parent, Kaseya, Inc., Merger Sub or any of their Affiliates in connection with (a) the execution and delivery of this Agreement by each of Parent, Kaseya Parent, Kaseya Inc.

  • Furthermore, and without derogating from any rights or remedies of Kaseya, ▇▇▇▇▇▇ shall be entitled to suspend any Service and the use of the Software by Licensee should Licensee breach any term of this Agreement, including without limitation failing to pay any amounts due in a timely manner, or if continued provision of Services poses a risk to Kaseya in its sole discretion.

  • Parties agree and acknowledge that Kaseya Parent shall be a party to this Agreement solely for purposes of Section 3.30, Section 4.1, Section 4.2, Section 4.3, Section 4.4, Section 4.6, Section 4.10, Section 4.16, Section 4.17, Section 6.2 and Section 6.13.

  • Licensee must notify Kaseya within ninety (90) days of the receipt of the invoice of any billing errors thereon.

  • This warranty covers only problems reported to Kaseya in writing during the Warranty Period, and which are capable of being observed or reproduced by ▇▇▇▇▇▇.

  • Confidential Information of the other party may only be disclosed to those Affiliates, employees, contractors and advisors of Company or of Kaseya, as applicable, on a need-to-know basis and who agree to be bound by confidentiality restrictions at least as restrictive as those contained in this Agreement; provided, that nothing shall prevent or prohibit a party from using or disclosing Confidential Information as may be required by law, rule, regulation or legal process.
