K-Fuel Technology definition

K-Fuel Technology means (i) the KFx Technology, (ii) the KECC Technology, (iii) any LLC Technology relating to KFx Technology, (iv) any and all Improvements, and (v) any other Technology conceived, developed, discovered or otherwise acquired by the Company and designated as K- Fuel Technology pursuant to Unanimous Member Action, support for such designation by each Member not to be unreasonably withheld.
K-Fuel Technology has the meaning set forth in the License Agreement.
K-Fuel Technology means the Licensed Patents, the Deliverables and the Improvements.

  • The Company hereby grants, through K-Fuel LLC, or agrees to cause K-Fuel LLC to grant, to the Holders an irrevocable, transferable, exclusive right and license, with the right to grant sublicenses, to develop Commercial Projects and otherwise provide, manufacture, use, employ, practice, distribute, reproduce, disseminate, make, have made, sell, offer to sell, have sold, research, design, develop, market or otherwise exploit any and all rights under the K-Fuel Technology, within India.

  • Such license will include any and all rights relating to such K-Fuel Technology, including all right to market all K-Fuel Products (as defined in the K-Fuel Agreement) produced by the Commercial Project at market prices, to manage the Commercial Project for reasonable fees, and to supply coal and other related feedstock for any such Commercial Project.

  • Each of the Members agrees that it and each of its Affiliates will hold all K-Fuel Technology in strict confidence and treat it as proprietary information and not use the K-Fuel Technology (for itself or the benefit of any third Person) except for the conduct of the Company Business under this Amended Agreement as set forth in the Amended Confidentiality Agreement.

  • In the event that a proposal for a Commercial Project does not receive approval by Unanimous Members Action, then the Member voting to approve such Commercial Project, may, without any further requirement of Members Action, undertake such Commercial Project for its own benefit or with third parties (including, without limitation, its Affiliates) and may cause the Company to enter into a license and sublicense of the K-Fuel Technology with the Project Entity formed to develop such Commercial Project.

  • KFx agrees to use its best efforts to cause K-Fuel, LLC to license such New K-Fuel Technology resulting from the Business Development Arrangement to LSA on a worldwide basis for use in applications of the Lurgi Technical Information that do not include the temperature and pressure ranges of the K-Fuel Patents.

  • It is expressly understood by the Parties that each Commercial Project must obtain a license to the K-Fuel Technology from K-Fuel, LLC and to the Sasol-Lurgi Technology, from LSA.

  • The Parties desire to enter into this Agreement to (i) employ the K-Fuel Technology and the Lurgi Technical Information in a Business Development Arrangement; (ii) provide for compensation to each party for their respective contribution to the Business Development Arrangement; and (iii) define each Party's ownership rights in any patents that might be developed from the Business Development Arrangement.

  • The term of this Agreement is five (5) years from the Effective Date, and so long as KFx continues to utilize the LSA engineering services, price estimation and services to procure, engineer and deliver equipment for Commercial Projects that have been licensed to used the K-Fuel Technology, as more fully set forth in Section 2.2 hereof (the "LSA Services").

  • K-Fuel Technology means the technology embodied in the U.S. Patents owned by or licensed to KFx and any new patents or patent applications that include the use of heat and pressure within the limits of such patents to upgrade coal and other carbonaceous materials, and the foreign counterparts of such patents or patent applications ("K-Fuel Patents").

  • LSA will perform engineering services, price estimation and services required to procure, engineer and deliver equipment for the Commercial Projects that have been licensed to use the K-Fuel Technology.

Related to K-Fuel Technology

  • New Technology means methods, products, processes and procedures developed through science or research;

  • Customer Technology means Customer's proprietary technology, including Customer's Internet operations design, content, software tools, hardware designs, algorithms, software (in source and object forms), user interface designs, architecture, class libraries, objects and documentation (both printed and electronic), know-how, trade secrets and any related intellectual property rights throughout the world (whether owned by Customer or licensed to Customer from a third party) and also including any derivatives, improvements, enhancements or extensions of Customer Technology conceived, reduced to practice, or developed during the term of this Agreement by Customer.

  • Clean coal technology means any technology, including technologies applied at the precombustion, combustion, or post combustion stage, at a new or existing facility which will achieve significant reductions in air emissions of sulfur dioxide or oxides of nitrogen associated with the utilization of coal in the generation of electricity, or process steam which was not in widespread use as of November 15, 1990.

  • Developed Technology means any Technology including, without limitation, any enhancements, substitutions or improvements to the Core Technology that is (a) discovered, developed or otherwise acquired by DURA pursuant to the terms of the Development Agreement or (b) otherwise acquired by or on behalf of ▇▇▇▇▇▇ Corp. II during the term of the Development Agreement.

  • Product Technology means the Product Know-How and Product Patents.
