To the extent JWCFS adopts or continues any ERISA Benefit Plan or Other Compensation Plan, nothing contained in this Agreement limits or restricts JWCFS's right to amend, modify, or terminate any of such plans in such manner as JWCFS deems appropriate.
Except to the extent amended or superseded by a subsequent filing with the Commission (a copy of which has been provided to JWCFS prior to the date hereof), none of the Form BDs or Form ADVs (including all amendments thereto) contains any untrue statement of a material fact required to be stated or incorporated by reference therein or necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading.

JWCFS and Newco shall have obtained and delivered copies thereof to Genesis the consent of any Person to the transactions contemplated by this Agreement (including any consents or approvals required from any Governmental Authority), where such consent or approval is required for effective consummation of the Combination.
Genesis has heretofore furnished to JWCFS correct and complete copies of the SRO Reports.
