• The JV Area is an area of approximately 4,940 Acres (1,999 hectares) allocated by USAU to the Joint Venture (“JV”) as follows the unpatented lode mining claims (the “mining claims”), situated in Elko County, State of Nevada, which have been located under the General Mining Laws of the United states on United States Forest Service (“USFS”) managed lands, as follows and with respect to which the Bureau of Land Management Serial Number (BLM#) for each claim is as follows: .

• MRA wishes to farm-in to the JV Area portion of the Licence Area.

• All properties in the JV Area necessary or desirable for fulfillment of the Company’s business purpose shall be sought and acquired, whether by lease, purchase or otherwise, by the Company or by a Member for the benefit of the Company.

• This Lease shall automatically terminate (1) if during the initial 10-year term the Operating Agreement, as defined below, terminates and no entity thereafter conducts Mining Operations for a period of more than one year or (2) if, after the initial 10-year term, the Lessee fails to mine 1% of the total reserves in the JV Area per year based upon a three (3) consecutive year rolling average.

• At least thirty (30) days prior to beginning to remove overburden for the extraction of Lessor’s Coal and annually thereafter, Lessee shall provide to Lessor a map detailing Lessee’s mining plan and proposed activities within the JV Area.

• Lessee shall inspect the Surface Lands and ascertain what mining rights and privileges Lessor owns within the JV Area before conducting any Mining Operations thereon.

JV Area means, individually or collectively as the context may require – 1.2.25.1 the Evander 6 Shaft Area, being the area indicated by the area shaded in pink on the map attached hereto as annexe “A”; and 1.2.25.2 the Twistdraai Area, being the area indicated by the area shaded in blue on the map attached hereto as annexe “B”;

JV Area means the areas of the JV Exploration Permits described in Annexure B and identified by the area highlighted in yellow in the map at Schedule 3. Confidential and Legally Privileged page 6

JV Area means the area referred to in the Farm-in Agreement as the “JV Area” and described in Part A of Schedule 1 relating to Licence 13/98;

JV Area means the area described in Part I of Schedule 1 and as identified in the extract of the Licence in Part 2 of Schedule 1. JV Area JOA is defined in Clause 3.3.
