Juro Platform definition

Juro Platform means the online contract automation platform provided by Juro as part of the Services for the purpose of enabling users to generate, negotiate, electronically sign and manage contracts according to the subscription plan set out in the Order Form. MSA means this Juro master services agreement. Order Form means the order form for the Services under the Agreement that has been signed by both parties. Services are defined in clause 3.1. Support Services is defined in clause 3.1.3.

Examples of Juro Platform in a sentence

  • Without limiting the generality of the foregoing, Customer’s Confidential Information includes the Customer Data, and Juro’s Confidential Information includes non-public information regarding the Juro Platform.

  • Juro will use reasonable efforts to maintain the availability of the Hosted Services, but does not guarantee that the Juro Platform will be available 100% of the time.

  • Juro will have no obligation for any claims arising out of: (a) misuse or modification of the Juro Platform; (b) combination of the Juro Platform with any components not provided by Juro; (c) Customer Data or Juro’s conformance with Customer’s specific requirements or instructions; or (d) Customer’s breach of the Agreement or violation of applicable law (each, an Exclusion).

  • Juro or its licensors own all IP Rights in: (a) the Services, the Juro Platform and any improvements, enhancements, or modifications to them; (b) the Juro name and logo; and (c) all deliverables and work product (including drafts) created in providing the Implementation Services.

  • Juro may immediately suspend Customer’s access to the Juro Platform if: (a) Customer breaches Section 2.4; or; (b) fails to pay any amount when due and remains in default 14 days after receiving notice of non-payment from Juro; or (c) Juro determines in good faith that such suspension is necessary to avoid possible harm to Juro’s, Customer’s, or any third party’s property, systems, or information.

  • If a third-party claim of infringement is threatened or occurs, Juro may seek to mitigate damages by modifying the Juro Platform, or (if neither of the foregoing are commercially feasible) terminating this Agreement and refunding to Customer any unused, prepaid fees.

  • Juro or its licensors own all IP in: (a) the Evaluation Services, the Juro Platform and any improvements, enhancements or modifications to them; and (b) the Juro name and logo.

  • Juro may immediately suspend the Customer’s access to the Juro Platform at any time for any reason.

  • Juro will indemnify, defend and hold Customer harmless from and against any losses, damages, fees, costs, and expenses (including reasonable attorneys’ fees) (collectively, Losses) it may incur in connection with a third-party claim to the extent arising out of any allegation that the Juro Platform (excluding the AI Features and the Content) infringes any third party’s IP Rights.
