(collectively, the "Initial Purchasers") of $100,000,000 aggregate principal amount of JTM's 10% Senior Subordinated Notes due 2008 (the "Notes"), being issued pursuant to an Indenture (the "Indenture"), dated as of the date hereof, among JTM, the Company, the other Subsidiary Guarantors (as defined) and U.S. Bank National Association, as trustee (the "Trustee"). The Notes are guaranteed (the "Subsidiary Guarantees"), jointly and severally, on a senior subordinated basis by all existing domestic subsidiaries of JTM (the "Subsidiary Guarantors"), including the Company. This opinion is furnished to you pursuant to Section 7(1) of the Purchase Agreement. Except as otherwise specified, terms used herein have the meanings ascribed to them in the Purchase Agreement.
